The onus is on you to ensure you have\n          read and agreed with this document, as well as any amendments made thereto and to contact SystemSpecs Limited\n          in the event of any queries you may have.\n\n          1. DEFINITIONS\n\n          In this document,\n          i. "User Agreement", "Agreement", "Terms of Service" are synonymous and used interchangeably.\n\n          ii. "You" or "Your" or "User" refers to any person or entity using the service.\n\n          iii. Unless otherwise stated, "SystemSpecs," "we" or "our" or "us" will refer collectively to SystemSpecs\n          Limited and its subsidiaries, affiliates, directors, officers, employees, agents and partners.\n\n          iv. \u201cYou\u201d and \u201cSystemSpecs\u201d are jointly referred to as \'the Parties\' in this document.\n\n          v. MetrobillsPay", "our Services", "the Services", "the System", \' MetrobillsPay app\' "MetrobillsPay" are\n          synonymous and used interchangeably unless otherwise specified.\n\n          2. ABOUT METROBILLSPAY\n\n          MetrobillsPay is a mobile application service that has been designed to provide you with a flexible and\n          convenient channel for bill payment and transfer of funds to third parties. Bill payments in this context\n          refers to the process of initiating payments from your mobile device to settle an outstanding bill, purchase a\n          token that can be used to activate a utility service or any other payment for goods and services.\n\n          3. CATEGORIES OF USERS AND REGISTRATION REQUIREMENTS\n\n          This Service is available to both Registered Users and Guest Users.\n\n          3.1 Guest Users: If you are a Guest User, you are not required to register your profile and/or login before\n          you use the Service. You are simply required to accept to be bound by this Terms and Conditions, our Privacy\n          Policy and any other requirement which we may request of you.\n\n          3.2 Registered Users:\n\n          3.2.1 In order to use the Service, you must complete all required information elements on the Service\n          registration web pages.\n\n          3.2.2 You must register a valid credit or debit card or bank account as a Payment Instrument to make Payment\n          Transactions and pay fees and other obligations arising from your use of the Service.\n\n          3.2.3 You must provide current, complete and accurate information and maintain it as current and accurate. We\n          may require you to provide additional information as a condition of continued use of the Service, or to assist\n          in determining whether to permit you to continue to use the Service.\n\n          3.2.4 You authorize us to confirm that your Payment Instrument is in good standing with the issuing financial\n          institution. You also authorize us to carry out background inquiries as we deem appropriate to evaluate your\n          registration for or continued use of the Service.\n\n          3.2.5 Without limiting the foregoing, we reserve the right to deny, suspend or terminate delivery of our\n          Service to persons who present an unacceptable level of risk as determined by regulatory, industry and our\n          standards.\n\n          4. PAYMENT TRANSACTION PROCESSING\n\n          4.1 MetrobillsPay facilitates your payment of bills for goods and services consumed or due to be consumed and\n          fund transfer to third parties. Based on your instructions, you acknowledge that:\n\n          4.1.1 Transfer instructions on the MetrobillsPay are driven strictly by the beneficiary account numbers and\n          not by the beneficiary names supplied.\n\n          4.1.2 Proceeds of transfers in 5.1.1 above will be applied into the beneficiary account number supplied by you\n          at the time of supplying the transfer instructions.\n\n          4.1.3 Payments initiated in favour of any of the registered billers on the platform will be processed\n          automatically into the pre-defined beneficiary accounts of the billers.\n\n          4.1.4 You are fully responsible for the completeness, correctness and validity of data supplied on\n          MetrobillsPay, including but not limited to:\n\n          4.1.4.1 Beneficiary account number\n          4.1.4.2 Amount\n          4.1.4.3 Any unique identifier that can be mapped to you in relation to the bill sought to be paid e.g. Bill\n          number, meter number, invoice number, smart card number, etc.\n\n          4.1.5 Neither SystemSpecs nor any of the Partner Banks can be held liable for any incorrect beneficiary\n          account number, amount, phone number, e-mail address or other data that a registered user uploads on\n          MetrobillsPay.\n\n          4.1.6 MetrobillsPay is not a bank.\n\n          4.1.7 We are not acting as a trustee, fiduciary or escrow with respect to your funds.\n\n          4.1.8 When you send a payment instruction, until that payment is accepted by the recipient, you remain the\n          owner of those funds, but you will not be able to withdraw those funds or send the funds to any other\n          recipient unless the transaction is cancelled.\n\n          4.1.9 We act as service providers by creating, hosting, maintaining and providing our Service to you through\n          the Internet. We do not have any control over the products or services that are paid for through our Service.\n          We cannot ensure that a utility company/service provider you are dealing with will actually complete the\n          transaction and we shall not bear any liability for any incomplete transaction between you and the other party\n          with whom you may be transacting.\n\n          4.2 We may delay processing of suspicious transactions or transactions which may involve fraud, misconduct, or\n          violate applicable law, this Terms of Service, as determined in our sole and absolute discretion.\n\n          4.3 You authorize the charge or debit to your Payment Instrument as necessary to complete processing of a\n          payment transaction.\n\n          4.4 You also authorize the crediting to your account in the event of applicable reversals, refunds, or\n          adjustments through the Service.\n\n          5. INDEMNITY\n\n          5.1 You agree to indemnify and hold SystemSpecs, harmless from any claim or demand (including attorneys\' fees)\n          made by you or any third party arising wholly or partly from your breach of this Agreement or the documents it\n          incorporates by reference, or your violation of any law or the rights of a third party relating to your use of\n          the Service.\n\n          5.2 Except when caused by SystemSpecs\' or the banks\' misconduct or negligence, you will protect SystemSpecs,\n          the banks, their affiliates and service providers from any/and all claims, liability, damages, expenses and\n          costs caused by or arising from your use of the service.\n\n\n          6. USERNAME, PASSWORD AND OTHER LOGIN INFORMATION\n\n          6.1 Through MetrobillsPay, we may store information provided by you, such as your payment Instruments and\n          other relevant details to aid the processing of your payment instructions through the appropriate credit card\n          or debit card scheme or through a participating bank, as applicable.\n\n          6.2 You are responsible for:\n\n          6.2.1 maintaining the confidentiality of your username, password and other information about your login\n          credentials.\n\n          6.2.2 any and all transactions by persons that you give access to or that otherwise use such username or\n          password, and other information about your login credentials\n\n          6.2.3 any and all consequences of use or misuse of your username and password. You agree to notify us\n          immediately of any unauthorized use of your username or password or any other breach of security regarding the\n          Service of which you have knowledge.\n\n          6.3 You understand that SystemSpecs, banks, their affiliates and service providers will never request you to\n          divulge any of these information by phone, mail or any other means. You are obliged to report any\n          representation to the contrary to SystemSpecs and your bank promptly.\n\n\n          7. SUPPORT SERVICES\n\n          7.1 SystemSpecs has a dedicated support unit manned by highly experienced and professional personnel. Customer\n          support issues are managed through a Customer Relationship Management (CRM) system. Customer complaints made\n          through our dedicated email and telephone lines are logged and monitored on the system until a resolution is\n          achieved. Our support team is always available to receive enquiries on weekdays, weekends and public holidays.\n          All support related enquiries should be routed via the email [EMAIL ADDRESS] or telephone number [PHONE\n          NUMBER]. Our other contact details are also displayed on the \'Contact\' section of the application, which may\n          be updated from time to time.\n\n          7.2 For Registered Users, the standard Support Services provided by us are as listed below and are covered by\n          your transaction fees:\n\n          7.2.1 Processing of your application to use the system including the creation of your login details and\n          activation of your MetrobillsPay profile.\n\n          7.2.2 Initial Setup of your profile on the system.\n\n          7.2.3 Required support to ensure successful execution of your payment instructions.\n\n          7.2.4 Deployment of application updates and patches.\n\n          7.2.5 Telephone and e-mail support services in response to your queries.\n\n          8. FEES AND TAXES\n\n          8.1 The processing fees payable for our services are as displayed on your MetrobillsPay profile screen during\n          transaction processing or as stated below. The fees are computed per record and charged alongside each batch\n          of transactions that you process.\n          The fees payable for our services are:\n\n          8.1.1 [PLEASE PROVIDE INFORMATION ON THE APPLICABLE FEES]\n\n          8.2 All fees and charges quoted in this Agreement exclude any applicable taxes, which will be chargeable at\n          the prevailing rate.\n\n          8.3 SystemSpecs reserves the right to change the processing fees as well as the fees for extended support\n          services. Notices of such changes shall be communicated in line with the provisions of this Terms of Service.\n\n          9. ACCEPTABLE USE POLICY\n\n          9.1 The following activities constitute a violation of the Acceptable use of MetrobillsPay;\n\n          9.1.1 Using the MetrobillsPay service to make or receive payments for any illegal, fraudulent, immoral or\n          otherwise socially reprehensible purposes.\n\n          9.1.2 Using the MetrobillsPay service to make or receive payments for any narcotics, other controlled\n          substances, steroids or illicit drugs.\n\n          9.2 Restricted Activities\n          You agree that your information and your activities (including your payments and receipt of payments) through\n          our Service shall not:\n          9.2.1 Be false, inaccurate or misleading;\n\n          9.2.2 Be fraudulent or involve the sale of counterfeit or stolen items;\n\n          9.2.3 Be related in any way to terrorism and/or criminal activities, including but not limited to payment or\n          the acceptance of payments for unauthorised firearms or weapons;\n\n          9.2.4 Infringe on any third party\'s copyright, patent, trademark, trade secret or other property rights or\n          rights of publicity or privacy;\n\n          9.2.5 Violate any law, statute, ordinance, contract or regulation (including, but not limited to, those\n          governing financial services, consumer protection, unfair competition, antidiscrimination, or false\n          advertising);\n\n          9.2.6 Be defamatory, libelous, unlawfully threatening or unlawfully harassing;\n\n          9.2.7 Be obscene or contain child pornography;\n\n          9.2.8 Contain any viruses, Trojan horses, worms, time bombs, cancel bots, easter eggs or other computer\n          programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate\n          any system, data or other personal information; or\n\n          9.2.9 Create liability for us or cause us to lose (in whole or in part) the services of our Internet Service\n          Providers (ISPs) or other suppliers. If you use, or attempt to use the Service for purposes other than sending\n          and receiving payments, managing your account and the services listed in clause 1.0 above, including but not\n          limited to tampering with, hacking, modifying or otherwise corrupting the security or functionality of the\n          Service, your account will be terminated and you will be subject to claims for damages and other lawful\n          penalties, including criminal prosecution where applicable.\n\n          9.3 If, in our sole discretion, we believe that you may have engaged in any violation of this section, we may\n          (with or without notice to you) take such actions as we deem appropriate to mitigate risk to SystemSpecs or\n          Metrobillspay and any impacted third parties and to ensure compliance with this section. Such actions may\n          include, without limitation:\n\n          9.3.1 Blocking the settlement or completion of one or more payments;\n\n          9.3.2 Suspending, restricting or terminating your access to and use of Metrobillspay;\n\n          9.3.3 Terminating our business relationship with you,\n\n          9.3.4 Taking legal action against you;\n\n          9.3.5 Contacting and disclosing information related to such violations to (i) persons who have received\n          payments from you, (ii) any banks or Card Schemes involved with your transaction (iii) law enforcement or\n          regulatory agencies, and (iv) other third parties that may have been impacted by such violations; and/or\n\n          9.3.6 Assessing against you any fees, penalties, assessments or expenses (including reasonable attorneys\u2019\n          fees) that we may incur as a result of such violations, which you agree to pay promptly upon notice.\n\n\n          10. PRIVACY AND SECURITY\n\n          10.1 We view the protection of users\' privacy as a very important principle. We understand clearly that you\n          and your Information are one of our most important assets. We store and process your Information on computers\n          that are protected by physical as well as technological security devices. We do not give your personal\n          information to third parties for marketing purposes without your consent. You may object to your information\n          being used in this way and thereby opt out from using our Services. Please ensure that you read our privacy\n          policy available on [Insert hyperlink of Privacy Policy].\n\n          10.2 By consenting to this Agreement, you also consent to our privacy policy.\n\n          11. WARRANTY AND SERVICE DISRUPTION\n\n          11.1 We warrant that the service will in all material respects, deliver on the agreed terms herein. Should the\n          service be disrupted to such an extent that there is likely to be an adverse effect to the service provided,\n          we will endeavor to notify you of such within a reasonable time.\n\n          11.2 In the event of any service delay or failure, we shall take necessary steps to ensure speedy service\n          restoration and reduce to the barest minimum the extent of such service failures. However we shall not be\n          liable to you for any loss or damage.\n\n          12. TRADEMARKS AND OTHER INTELLECTUAL PROPRIETARY RIGHTS\n\n          12.1 MetrobillsPay, www.metrobillspay.net and all logos, products, services or other content on\n          www.metrobillspay.com or other related mobile download platforms are the intellectual property of SystemSpecs,\n          or its licensors, and may not be copied, imitated or used, in whole or in part, without the prior written\n          permission of SystemSpecs. In addition, all page headers, custom graphics, button icons, and scripts are\n          service marks, trademarks, and/or trade dress of MetrobillsPay and may not be copied, imitated, or used, in\n          whole or in part, without the prior written permission of SystemSpecs.\n\n          12.2 Neither this Agreement, nor your use of MetrobillsPay will convey title or any interest or rights in\n          SystemSpecs\' intellectual property rights.\n\n\n          13. ASSIGNABILITY\n\n          You may not transfer any rights or obligations you may have under this Agreement without our prior written\n          consent. We reserve the right to transfer this Agreement or any right or obligation under this Agreement\n          without your consent, and we will notify you via our websites, social media and other media.\n\n          14. LEGAL COMPLIANCE\n\n          You shall comply with all applicable Nigerian laws, and regulations, regarding your use of our Services. If\n          any specific term or condition violates any relevant law, that term alone shall stand severed or amended as\n          far as is necessary to comply with the law.\n\n          15. NOTICES AND AMENDMENT\n\n          15.1 Notices\n\n          You agree that these Terms of Service constitute "an Agreement duly signed or executed by "you" under any\n          applicable law or regulation. To the fullest extent permitted by applicable law, this Agreement and any other\n          agreements, notices or other documents regarding your account and/or your use of the Service, may be provided\n          to you electronically and you agree to receive all Notices from SystemSpecs in electronic form.\n\n          You may print a copy of any Notice and retain it for your records. All Notices in either electronic or paper\n          format will be considered to be in "writing and to have been received and shall become effective thirty (30)\n          days after being posted or placed on our website.\n\n          15.2 Notice Procedure\n\n          15.2.1 Notices from you to SystemSpecs shall be by email from you to [email address].\n\n          15.2.2 Notices by us to you may be placed on our website, www.metrobillspay.com or sent to your email address\n          registered with us.\n\n          15.2.3 A notice by email shall be deemed received by the other party, once the email is sent, unless the\n          sending party is aware that the email was not received.\n\n          15.2.4 Notice posted to our website shall be deemed received upon your visit to our site or your first login\n          subsequent to the posting.\n\n          15.3 Amendment\n          We may amend this Agreement at any time by notice to you or posting the amended terms on www.\n          metrobillspay.com All amended terms shall be effective thirty (30) days after notice or posting on the\n          website.\n\n\n          16. DISPUTE RESOLUTION\n\n          16.1 Negotiated Settlement or Mediation\n          In the event of a dispute arising between you and SystemSpecs, our goal is to provide you with a neutral and\n          cost effective means of resolving the dispute quickly. In the event of any dispute, the Parties shall seek to\n          resolve any such dispute amicably between themselves or through a negotiated settlement and in the event of\n          their inability to resolve the dispute as aforesaid, the parties shall explore a mediated settlement with both\n          Parties appointing one(1) Mediator who shall act as a catalyst for resolution.\n\n          16.2 Arbitration\n          If at any time the Parties are unable to amicably resolve any dispute(s) through negotiated settlement or\n          mediation, either party shall refer the matter to be finally settled by arbitration in accordance with the\n          Arbitration &amp; Conciliation Act, Cap A18, Laws of the Federation of Nigeria (LFN) 2004. The arbitration shall\n          take place in Lagos, Nigeria and be conducted in English Language. If the parties fail to agree on the\n          Arbitrator, the Arbitrator shall be appointed by the President of the Chartered Institute of Arbitrators UK\n          (Nigeria Branch). Each Party will bear its costs save for joint costs which will be borne jointly.\n\n\n          17. GENERAL\n\n          17.1 You represent that you have the capacity to enter into this Agreement.\n\n          17.2 That you are an adult, eligible to operate banking services and that you are not under any contractual\n          inhibition known to your national or international law.\n\n          17.3 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck\n          out and the remaining provisions shall be enforceable.\n\n          17.4 You agree that this Agreement and all incorporated agreements may be automatically assigned by\n          SystemSpecs to a third party in the event of a merger or acquisition.\n\n          17.5 Headings are for reference purposes only and in no way define, limit, construe or describe the scope or\n          extent of such section(s).\n\n          17.6 Our failure to act with respect to a breach by you or others does not amount to a waiver of our right to\n          act with respect to subsequent or similar breaches.\n\n          17.7 The non-specification of a particular legal or equitable remedy shall not be construed as a waiver,\n          prohibition or limitation of any legal or equitable remedies in the event of a breach of any of the clauses.\n\n\n          18. ENTIRE AGREEMENT\n\n          This Terms of Service and any documents referred to herein constitute the entire agreement between the parties\n          and supersede any and all prior agreements between the parties, whether oral or written, with respect to the\n          subject matter thereof.\n\n          19. APPLICABLE LAW\n          This Agreement shall be governed by and interpreted according to the laws of the Federal Republic of Nigeria\n          and shall be subject to the exclusive jurisdiction of Nigerian courts.\n\n          20. IMPROVEMENT AND CHANGES\n          The MetrobillsPay functions are subject to continuous technological improvement and consequently may change.\n          All changes to MetrobillsPay functions and services shall be published by SystemSpecs from time to time on the\n          website www. metrobillspay.com All such published changes shall form part of this Agreement.\n\n          21. FORCE MAJEURE\n          SystemSpecs shall not be in breach of its obligations under this Agreement or be responsible for any delay in\n          carrying out its obligations if performance is prevented or delayed wholly or in part as a consequence of\n          force majeure. Force majeure means any circumstance beyond the reasonable control of SystemSpecs including but\n          not limited to acts of war, state or national emergency, strike, rebellion, insurrection, government\n          sanctions, actions of regulatory or supervisory authorities, accident, power failure, internet and\n          communication link failure, fire, earthquake, flood, storm, tornadoes, hurricane, or any other act of God or\n          any technical failure caused by devices, matters or materials.\n\n\n\n        '),n.Rb(),n.Sb(6,"pre"),n.Ac(7,"          PRIVACY POLICY\n\n          Please read our Privacy Policy before you may become a business or personal user of the MetrobillsPay mobile application (\u201cthe Platform\u201d). The onus is on you ensure that you have read and agreed with our Terms &amp; Conditions and this Privacy Policy (including any amendments made thereto) and to contact SystemSpecs Limited (\u201cWe, Us, Our\u201d) in the event of any queries you may have. \n          By using any part of the Platform, you acknowledge and agree to the processing of your personal data under the terms and conditions set out in this Privacy Policy.\n          \n          1.\tYour Privacy Rights\n          \n          \n          This Privacy Policy describes your privacy rights regarding our collection, use, storage, sharing and protection of your personal information. It applies to the Platform (which comprises of its website and/or mobile applications), its applications, services, tools and content regardless of how you access or use them.\n          \n          2.\tConsent\n          \n          You accept this Privacy Policy when you sign up for, access, or use our products, services, content, features, technologies or functions offered on the Platform, all related sites, applications, and services (collectively known as \u201cthe \u201cPlatform\u201d). In addition, we collect your contact information such as; name, address, phone number, email, etc. We also collect your bank account name and numbers and these may be linked to your profile, where applicable. Information obtained through survey responses, telephone conversations, user enquiries and other means may also be collected and used by us.\n          \n          3.3\tWe may also use information provided by third parties like social media sites and verification agencies. Information about you which are provided by you or any person to other websites or platforms are not controlled by us, and we are therefore not liable for how they use it.\n          \n          3.4\tIf the information you have supplied to us is wrong, you can put in a request to update it quickly or to delete it \u2013 unless we have to keep that information for legitimate business or legal purposes, and when responding to a request to update your personal information, we may ask you to verify your identity before we can act on the request. We may reject requests that are unreasonably repetitive, require disproportionate technical effort (for example, developing a new system or fundamentally changing an existing practice), risk the privacy of others, or would be extremely impractical (for instance, requests concerning information residing on backup systems). Where we can provide information access and correction, we will do so for free, except where it would require a disproportionate effort. We aim to maintain our services in a manner that protects information from accidental or malicious destruction.
